Non-Disclosure Agreement (NDA)

This Mutual Non-Disclosure Agreement is entered into by and between Seven Labs ("Disclosing Party") and the Client ("Receiving Party").

1. Definition of Confidential Information

"Confidential Information" means any non-public information disclosed by either party to the other, directly or indirectly, in writing, orally, or by inspection of tangible objects including documents, prototypes, algorithms, code, and source code.

2. Obligations of Receiving Party

The Receiving Party agrees to: (a) hold the Disclosing Party's Confidential Information in strict confidence; (b) not disclose such information to any third parties without written consent; and (c) not use any Confidential Information for any purpose except to evaluate a potential business relationship.

3. Term

The non-disclosure provisions shall survive termination of this Agreement. The Receiving Party's duty to hold Confidential Information in confidence remains in effect until the information no longer qualifies as a trade secret or until the Disclosing Party sends written notice of release, whichever occurs first.
